Purpose of the HOA
Articles of Incorporation

HOA was established and incorporated as a Texas non-profit corporation in 1972 by the original developers of Balcones Village for the homeowners. Articles of Incorporation (AOI) are registered with the Office of the Texas Secretary of State.  The AOI were amended in 1979 to include Spicewood at Balcones and the name was changed to Balcones Village Spicewood Homeowners' Association.  

Originally, the Architectural Control function in the deed restrictions was assigned to a committee of three individuals on the development team. In 1992, when the development was substantially complete, the function of the Architectural Control Committee was transferred from the developer to the HOA. The purpose statement in Article IV of the Articles of Incorporation was amended in early 2021 by 99% of the voting members to incorporate this change in responsibility.  The amendment was filed with the Office of the Texas Secretary of State.  

Article IV Purpose as amended reads as follows:

The corporation is organized for the purpose of ensuring the subdivisions known as Balcones Village and Spicewood at Balcones Village are developed and maintained as residential areas of high standard by:
  • Striving to maintain compliance with the restrictions, covenants, conditions, and uses documents applicable to the properties within those subdivisions, 
  • Solving common problems, 
  • Facilitating activities to enhance the enjoyment of the community at large, and
  • Undertaking acts the Board of Directors determines to be in the interest of its members.
 
The corporation is organized and operated exclusively for non-profit purposes. No part of any net earnings shall inure to the benefit of any private member of the corporation. Notwithstanding any other provision of these articles, this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes of this corporation.
